Terms and Conditions

This Terms of Use (“Agreement”) is a legal agreement between you (“You,” “Your,” “Customer”) and Hex Innovation Limited (“HexPay,” “We,” “Our,” or “Us”), the provider of the HexPay payroll and HR management platform, including related websites, mobile applications, and services (the “Platform”).

By accessing or using the Platform, creating an account, or subscribing to any of Our services, You confirm that You have read, understood, and agree to be bound by this Terms of Use, together with Our Privacy Policy. If You are entering into this Agreement on behalf of a business, You represent that You have the authority to bind that business, and “Customer” will refer to that business.

If You do not agree, You must not use the Platform or any of the services provided through it.

1. About HexPay

HexPay is an all-in-one HR and payroll platform developed by Hex Innovation Limited, a company incorporated under the laws of the Federal Republic of Nigeria with headquarters in Abuja, Nigeria. Our Platform provides businesses of all sizes with HR management, payroll processing, compliance support, and other related services (“Services”).

2. Eligibility & Account Registration

  • You must be at least 18 years of age and legally capable of entering into binding agreements under Nigerian law.
  • To access the Services, You must create a HexPay account with accurate, complete, and up-to-date information.
  • You are responsible for maintaining the confidentiality of Your account credentials.
  • HexPay may suspend or terminate accounts if false or fraudulent information is provided.

3. Use of Services

You are granted a non-exclusive, non-transferable license to use the Platform for lawful business purposes only.
You agree not to:

  • Use the Services for unlawful or fraudulent purposes.
  • Circumvent or disable security features.
  • Upload harmful or infringing content.

HexPay may monitor usage for compliance and take necessary action.

4. Fees & Payments

  • You agree to pay all subscription fees and applicable charges.
  • Fees exclude taxes, levies, or government charges.
  • Late or failed payments may result in suspension or termination of access.
  • HexPay may revise pricing with thirty (30) days' notice.

5. Customer Data & Privacy

  • You retain ownership of all data You provide (“Customer Data”).
  • You grant HexPay a license to process Customer Data solely for the purpose of delivering Services.
  • All fees are non-refundable except as required by law.
  • We may generate anonymized, aggregated data for analytics and improvement (“Resultant Data”).
  • Use of the Platform is also subject to our Privacy Policy.

6. Intellectual Property

All intellectual property rights in the Platform remain with Hex Innovation Limited and its licensors. No rights are transferred to You except the limited license granted herein.

7. Third-Party Services

The Platform may integrate with third-party services (e.g., banks, payment providers). Use of such services is subject to their terms, and HexPay is not liable for third-party failures.

8. Termination

  • Either Party may terminate this Agreement with thirty (30) days' notice.
  • HexPay may suspend or terminate immediately for breach, non-payment, unlawful conduct, or legal requirement.
  • Termination does not relieve You of outstanding obligations.

9. Limitation of Liability

To the fullest extent permitted by law:

  • HexPay shall not be liable for indirect or consequential damages.
  • Total liability shall not exceed fees paid in the twelve (12) months before the claim.

10. Indemnity

You agree to indemnify and hold harmless HexPay, its employees, and affiliates from claims, damages, or expenses arising from Your use of the Services, breach of this Agreement, or violation of law.

11. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the Federal Republic of Nigeria. Disputes shall first be resolved amicably. If unresolved, they shall be referred to arbitration in Abuja, Nigeria, under the Arbitration and Conciliation Act, Cap A18 LFN 2004. The arbitrator's decision shall be final and binding.

12. Amendments

HexPay may amend these Terms of Use from time to time. Updates will be posted on the Platform, and continued use constitutes acceptance.

13. No Partnership or Agency

Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship. Neither Party has authority to bind the other without written consent.

14. Assignment

  • You may not assign or transfer Your rights or obligations without HexPay’s written consent.
  • HexPay may assign its rights and obligations without Your consent, including in mergers or restructuring.
  • Any unauthorized assignment is void.

15. Severability

If any provision of this Agreement is found unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

16. Electronic Transmission & Communication

  • You agree that HexPay may communicate with You electronically (via email, dashboard, or website notices).
  • Electronic records and communications shall carry the same legal effect as written, signed documents under Nigerian law.
