These Terms of Service are a general framework for using HexPay. They don't replace the specific order form, subscription plan, or enterprise agreement a Customer has signed with HexPay; where those documents differ, the signed agreement controls.

Acceptance of terms

By creating a HexPay account, accessing the HexPay platform, or using hexpayr.com, you agree to these Terms of Service on behalf of yourself and, if applicable, the business you represent ("Customer"). If you do not agree, do not use HexPay.

The service

HexPay is a payroll, HR and compliance platform that helps businesses run payroll, reconcile bank accounts, track time and attendance, hire, and calculate statutory deductions (PAYE, pension and NHF). HexPay calculates and schedules these statutory deductions and prepares ready-to-file documentation; filing with the relevant authorities (FIRS, PFAs, NHF) is currently the Customer's responsibility unless otherwise agreed in writing.

HexPay is provided on a subscription basis, described further on our Pricing page, which is incorporated into these Terms by reference.

Accounts & eligibility

You must provide accurate information when creating an account, and keep your login credentials confidential. You are responsible for activity that occurs under your account. You must be of legal working age and have the authority to bind your business to these Terms if you are signing up on its behalf.

Subscriptions & payment

Paid plans are billed as described on our Pricing page: a monthly platform fee plus a per-active-employee rate, billed monthly or annually. Fees are charged in advance and, except where required by law or expressly stated otherwise, are non-refundable. We may change our pricing with reasonable advance notice; continued use of HexPay after a price change takes effect constitutes acceptance of the new pricing.

Optional onboarding services described on our Pricing page (payroll migration, employee data import and custom integrations) are provided free of charge as part of getting started on HexPay.

Customer data & responsibilities

As between HexPay and the Customer, the Customer owns the data it submits to HexPay (including employee records, payroll figures and compliance data), and is responsible for the accuracy of that data. HexPay processes this data to provide the service, as described in our Privacy Policy. The Customer is responsible for having a lawful basis to submit its employees' personal data to HexPay, and for actually filing statutory remittances with the relevant authorities using the documentation HexPay prepares.

Acceptable use

You agree not to: use HexPay for any unlawful purpose, including tax evasion or payroll fraud; attempt to gain unauthorized access to HexPay's systems or another Customer's data; interfere with or disrupt the platform's integrity or performance; or reverse engineer, resell, or white-label HexPay without our written permission.

Intellectual property

HexPay and its licensors own all rights, title and interest in the HexPay platform, including its software, design and trademarks. These Terms grant you a limited, non-exclusive, non-transferable right to use HexPay for your internal business purposes during your subscription; they do not transfer ownership of any HexPay intellectual property to you.

Disclaimers

HexPay is provided "as is" and "as available." While we build HexPay to be accurate and compliant with Nigerian payroll and tax rules as they exist at the time each release is built, HexPay does not act as your tax advisor, accountant or lawyer, and does not guarantee that use of the platform alone will satisfy every regulatory obligation your business has. You remain responsible for reviewing payroll outputs and statutory filings before submission.

Limitation of liability

To the maximum extent permitted by law, HexPay will not be liable for indirect, incidental, special or consequential damages arising from use of the platform. Our total liability for any claim relating to HexPay is limited to the fees paid by the Customer to HexPay in the twelve months preceding the claim, except where a separate signed agreement states otherwise.

Termination

You may cancel your subscription at any time; access continues until the end of the current billing period. We may suspend or terminate accounts that violate these Terms, misuse the platform, or fail to pay applicable fees, with notice where reasonably possible.

Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, and any dispute arising from them will be subject to the exclusive jurisdiction of the courts of Nigeria, unless a separate signed agreement specifies otherwise.

Changes to these terms

We may update these Terms as HexPay evolves. We will update the "Last updated" date above, and where a change is material, we will make reasonable efforts to notify Customers directly before it takes effect.
